1. Acceptance of Terms

By subscribing to or using our services ("Services"), you (“Client,” “you,” or “your”) agree to these Terms & Conditions (“Terms”). These Terms constitute the entire agreement between you and McDowell Incentives, Inc. (dba 'Mi Swag Store', “Agency,” “we,” “us,” or “our”), superseding prior communications or agreements.

2. Scope of Services

We deliver website, e-commerce, digital marketing and CRM solutions via Go High Level's platform (white-labelled as MI Connect), including but not limited to automation setup, funnel creation, SMS/email campaigns, and system management. Details of your specific services will be defined in your Proposal or Service Agreement.

3. Guarantee & Cancellation

We offer a 100% satisfaction guarantee. If you're not fully satisfied with our Services, you may cancel with 30 days' written notice.

Upon cancellation, your Services will continue until the end of the current billing cycle. You will not be billed for subsequent periods once cancellation takes effect.

4. Fees & Payments

Fees are as outlined in your Proposal or Service Agreement. Payments are due according to the specified schedule. If payment fails (e.g., declined cards), we reserve the right to suspend or terminate Services until payment is resolved. Late payments may be subject to additional fees or collection costs.
5. Use of Platform & Compliance

You are responsible for ensuring that your use of the Go High Level platform (white-labelled as MI Connect), complies with applicable laws, including messaging laws like TCPA, CAN-SPAM, and A2P guidelines.

Do not share or sell lead information unless explicitly permitted. Especially avoid terms like “share,” “sell,” “affiliate,” or “third-party” in a misleading context. If required, include disclaimers like:

“No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted.”

6. Modifications to Services or Terms

We reserve the right to modify our Services or these Terms at any time. Your continued use constitutes acceptance of changes. This is aligned with standard practices noted in GHL’s terms.

7. Intellectual Property

All intellectual property created or provided in relation to your Services remains the property of the Agency unless explicitly assigned. Use of any third-party content or tools (e.g., Go High Level branding or components) must comply with their respective rights and usage guidelines.

8. Disclaimer & Limitation of Liability

While we strive for excellent results, we cannot guarantee specific outcomes. Liability for any claim arising from our Services will be limited to the amount you've paid for the affected Services during the preceding 30 days.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Agency from any claims, liabilities, losses, or expenses arising from your use of the Services or violation of these Terms, including legal and regulatory claims.

10. Termination

Beyond cancellations under the Guarantee clause:

We reserve the right to terminate your Services immediately if you breach any part of these Terms.

Termination does not relieve you of pending obligations, including unpaid fees.

11. Governing Law & Dispute Resolution

This Agreement is governed by the laws of [Your State], without regard to its conflict of law principles. Any disputes will be resolved through binding arbitration in [Your City], except when not enforceable by law.

12. Miscellaneous

Entire Agreement: These Terms plus any referenced documents (Privacy Policy, Proposal) form the complete agreement.

Severability: If any provision is invalid, the remainder of the Terms remains effective.

Assignment: You cannot assign this agreement without our written consent.
